Lexicon Pharmaceuticals, a biotech company in The Woodlands, has signed an exclusive licensing agreement with Novo Nordisk for its oral obesity drug LX9851. Novo Nordisk will have global rights to develop and sell the drug. Lexicon will receive upfront payments, potential milestone payments, and increased recognition. The deal was featured in the Houston Business Journal's year-end Deals of the Week.
Lexicon will complete the agreed IND-enabling studies. After that, Novo Nordisk will take over the IND filing, clinical development, manufacturing, and commercialization. Lexicon could receive up to $1 billion through upfront, development, regulatory, and sales milestone payments, including up to $75 million in upfront and near-term cash, plus tiered royalties on net sales. Lexicon said, "This arrangement decisively strengthens our financial position, providing optionality as we further invest and accelerate our R&D portfolio," according to Lexicon Pharmaceuticals.
How LX9851 Works
LX9851 is a non-incretin oral small molecule that targets Acyl-CoA synthetase 5 (ACSL5), an enzyme tied to fat accumulation and energy balance, and it may slow gastric emptying to help boost feelings of fullness. Preclinical data presented at Obesity Week showed the drug cut both weight and food intake when paired with semaglutide and helped reduce weight regain after stopping GLP-1 therapy. Industry watchers say that mechanism gives Novo a complementary, non-GLP tool as it expands its obesity pipeline, as reported by Reuters.
A Local Boost For The Woodlands
The licensing win has thrown a brighter spotlight on The Woodlands' emerging life-science hub and could help lure more talent and lab space to the suburbs just north of Houston. As per Chron, Lexicon has been rooted in The Woodlands since its founding and employed about 103 people as of March 2025. Developers in the area have been pitching new acreage for biotech and biomanufacturing, and local officials say the Novo deal validates those recruiting efforts.
Where The Deal Stands Now
Since announcing the agreement in March, Lexicon has reported receiving an upfront payment and, in its third-quarter update, said it had completed IND-enabling studies and sent the supporting data to Novo Nordisk as the licensee preps the IND submission. Those steps could trigger additional near-term milestones. The corporate milestones were detailed in Lexicon's November filing, and the licensing deal was mentioned by the Houston Business Journal in its Year in Review Deals of the Week feature. See Chartmill and Houston Business Journal for more details.
What To Watch Next
Investors and life-science developers are now waiting on the IND filing and any regulatory milestones that could unlock the next round of payments and validate LX9851 in human trials. The transaction also fits into a broader pattern of Novo Nordisk picking up or licensing non-GLP assets to diversify its weight-loss lineup as the obesity market heats up, as noted by Reuters.
