Atmus Filtration, the Nashville-based filtration company, is putting real money behind its push into industrial and indoor-air markets, spelling out terms of its roughly $450 million purchase of Koch Filter Corporation, the Louisville air-filtration maker. As part of the deal, Atmus says Koch will keep its brand and its Louisville operations in place inside a newly created Industrial Solutions business. The acquisition, which closed earlier this year, is part of Atmus’ effort to add more commercial HVAC, data-center and power-generation customers to its product mix.

As reported by Louisville Business First, Atmus paid about $450 million in cash for Koch Filter and confirmed that the Louisville operations will remain in place. In a Jan. 7 press release, Atmus Filtration Technologies said the acquisition closed on that date and quoted CEO Steph Disher: “We are excited to welcome the Koch Filter team to Atmus.” The company described the purchase as establishing its Industrial Solutions segment and expanding its indoor-air capabilities.

Koch's Louisville Footprint Will Stay

Koch Filter, founded in 1966, is headquartered in Louisville and lists manufacturing and distribution sites across the U.S., including East Greenville, Pa.; Houston; and Mira Loma, Calif., on its site. To help fund the purchase, Atmus amended its credit facilities, entering an amended credit agreement that provides a $1.0 billion term loan and a $500 million revolving credit facility, according to the company’s SEC filings. The company said the deal was financed with a mix of cash on hand and borrowings under that facility, and it excluded acquisition-related and one-time integration costs from its adjusted results in the quarter.
