The cash-and-stock structure was detailed in a GlobeNewswire release confirming the deal closed October 5, with the stock component valued at about $50 million when the acquisition was first announced in August. iRhythm also supplied VitalConnect with $10 million in interim working capital between the signing and the closing, according to the same release. The company built its business around wearable biosensors designed for both in-hospital continuous monitoring and home healthcare settings. Heading into the deal, VitalConnect was operating at an annual revenue run rate of approximately $65 million in 2026, per the Medical Device and Diagnostic Industry.

VitalPatch is FDA-cleared. VitalConnect's platform can monitor up to 11 physiological parameters. VitalPatch leverages AI-enabled algorithms and transmits patient data directly through the cloud rather than requiring the device to be mailed back for analysis, allowing clinicians to access information without delay.

Betting on a $1 Billion Telemetry Market

Industry analysts say the acquisition unlocks access to a $1 billion mobile cardiac telemetry market that iRhythm's core Zio patch portfolio had previously only partially served, according to MedTech Dive. VitalConnect's sensors are built for live, multi-vital monitoring in hospitals and during the transition to home care — a combination iRhythm and VitalConnect say will give clinicians greater flexibility to choose an approach based on patient needs and care setting.

An estimated 27 million people in the United States are at risk for undiagnosed cardiac arrhythmias annually, highlighting the potential need for cardiac monitoring.

What the Deal Means for iRhythm's Finances

iRhythm expects the acquisition to boost its overall revenue growth rate starting in 2027 while preserving its existing target of a 15% adjusted EBITDA margin that same year, per Fierce Healthcare. The deal comes on the heels of strong standalone momentum: iRhythm reported $224.2 million in second-quarter 2026 revenue, a 20.1% year-over-year increase, and had raised its standalone full-year 2026 revenue guidance to between $875 million and $885 million before the acquisition closed.
