A Wayne, Pennsylvania biotech company announced a $50 million stock offering to raise cash to push forward an experimental antibody drug that has shown early promise against eczema and asthma; the drug is being advanced toward a trial for a painful swallowing disorder.
The deal, first announced when Aclaris priced the underwritten offering on October 27, consisted of 7,785,714 shares of common stock priced at $3.50 per share, plus pre-funded warrants to purchase 6.5 million additional shares, according to Aclaris Therapeutics. The company said the offering was expected to close October 28, subject to customary conditions, and that it was made under a shelf registration statement filed with the SEC on August 6. Investors in the round included TCGX, RA Capital Management, Invus, and an unnamed large mutual fund, the company said.
Aclaris expects to net roughly $46.7 million from the offering after expenses, money the company says will go toward research, drug development and operations, according to PHILADELPHIA.Today. That outlet reported the raise extends the company's funding runway through mid-2029. A fragmentary SEC filing snippet similarly puts estimated net proceeds at approximately $46.7 million after underwriting discounts, commissions and estimated offering expenses, though that figure comes from a low-confidence excerpt.
A Clinical-Stage Company Betting on One Antibody
Aclaris describes itself as a clinical-stage biopharmaceutical company focused on developing novel product candidates for immuno-inflammatory diseases. The Wayne-based company is led by CEO Dr. Neal Walker, who co-founded Aclaris in 2012, according to PHILADELPHIA.Today. Its pipeline targets chronic inflammatory conditions, including eczema, asthma and eosinophilic esophagitis, the outlet reported.
At the center of that pipeline is ATI-052, an investigational bispecific antibody designed to target TSLP and IL-4Rα, according to the same Aclaris release. Aclaris first disclosed in January that it had initiated a placebo-controlled Phase 1b proof-of-concept trial of ATI-052 in atopic dermatitis, with top-line results from both that trial and a companion asthma study expected in the second half of 2026.
Early Trial Results and What Comes Next
Those results landed October 27, when Aclaris announced positive primary analysis findings from the Phase 1b proof-of-concept trials in atopic dermatitis and asthma. In the atopic dermatitis trial, the company reported a 45-percentage-point placebo-adjusted improvement in EASI score at day 57, based on a 58% average reduction in the ATI-052 group versus 13% in the placebo group. In the asthma trial, Aclaris reported a placebo-adjusted and absolute mean improvement of 200 ml in FEV1 just 15 days after administration. The company also said there were no Grade 3 or 4 treatment-emergent adverse events across the two trials.
Aclaris said it intends to prioritize initiating a Phase 2b trial of ATI-052 in eosinophilic esophagitis early next year. MyChesCo noted that the early-stage studies were primarily designed to assess safety and tolerability rather than establish definitive treatment efficacy, a caveat that applies to the encouraging numbers the company has released so far.
Quarterly Numbers Behind the Raise
PHILADELPHIA.Today reported that Aclaris posted $1.6 million in revenue in the second quarter alongside a $21.5 million net loss, compared with a $15.4 million net loss in the same quarter a year earlier. The outlet also reported that Aclaris held $204.6 million in cash and marketable securities as of September 30. The fresh funding is expected to extend Aclaris's cash runway by two quarters.
