In a blog post on their official site, Cognition detailed the acquisition, which includes Windsurf's intellectual property, product assets, trademark, brand, and notably, their skilled team members. According to Scott, Cognition's leader, "100% of Windsurf employees will participate financially in this deal" and will see immediate benefits such as waived vesting cliffs and fully accelerated vesting for their work to date. Cognition's blog post highlighted the intent to integrate Windsurf's capabilities into their product line.

On the other hand, Windsurf shared its take on the acquisition on its website. The company emphasized the synergy between both organizations, with Windsurf's IDE complementing Cognition's autonomous agent, Devin. Jeff, CEO of Windsurf, communicated to his team the significance of this acquisition, especially considering the recent loss of their founders and research team. He expressed his enthusiasm for the future, stating, "With this deal, two world-class teams are uniting toward a shared vision, with massive momentum at our backs." Windsurf's announcement also ensured that customers and users would "enjoy better product innovation than ever."

This move is interpreted as a strategic consolidation in the rapidly evolving field of AI-facilitated coding. The acquisition brings together Windsurf's established base of enterprise customers and active users with Cognition's advanced AI applications. According to Cognition's blog, their new combined resources will expedite the company's mission to transform the software engineering landscape. Cognition boasts "a user base that includes 350+ enterprise customers and hundreds of thousands of daily active users," as highlighted by Cognition.

Jeff conveyed gratitude to the Windsurf team, acknowledging their professionalism during unstable times. He asserted the deal was a perfect alignment, allowing Cognition and Windsurf to create "the future we will now create together," according to Windsurf's blog post. The merger is suggested to give rise to new developer experiences, empowering engineering teams with AI tools that streamline their workflow substantially.
